VENCORA UK LIMITED ANNOUNCES PUBLIC TENDER OFFER FOR ALL PUBLICLY HELD SHARES OF CREALOGIX HOLDING AG

  • All-cash tender offer by Vencora UK Limited (Vencora or the Offeror) of CHF 60 per share of CREALOGIX Holding AG (CREALOGIX), representing an aggregate equity value for CREALOGIX of CHF 84.3 Mio.

  • The Offer Price implies a premium of 26.96% when compared with the value per CREALOGIX share of CHF 47.26 determined by the independent Review Body of the offer, BDO AG, in its valuation report, which is the value that is relevant for the determination of the minimum offer price; and 20.48% premium over CREALOGIX’s closing share price on 15 November 2023.

  • Tender offer is unanimously recommended by CREALOGIX’s board of directors, and certain CREALOGIX shareholders holding in aggregate 51.66% have agreed to concurrently sell their shares in CREALOGIX to Vencora.

  • The acquisition will result in a Swiss software company with the backing of a well-capitalised leading global technology firm that is keen to support further growth.

Vencora, an indirect subsidiary of Constellation Software Inc. (a Canadian-based international provider of software and services whose shares are listed on the Toronto Stock Exchange, TSE: CSU) and CREALOGIX (SIX: CLXN), a global leader in digital banking technology, jointly announced today that they have entered into a definitive transaction agreement, under which Vencora agreed to submit an all-cash public tender offer to acquire all publicly held registered shares of CREALOGIX for CHF 60 per share (the Offer Price). Vencora published its pre-announcement of the offer today.


The Offer Price implies a premium of 26.96% when compared with the value per CREALOGIX share of CHF 47.26 determined by the independent Review Body of the offer, BDO AG, in its valuation report, which is the value that is relevant for the determination of the minimum offer price. The board of directors of CREALOGIX unanimously recommends that shareholders accept the offer. The report by the board of directors of CREALOGIX regarding the offer will be included in Vencora’s offer prospectus.


Mr. Richard Dratva, Zurich, Switzerland, Mr. Bruno Richle, Jona, Switzerland, Mr. Daniel Hiltebrand, Pfaeffikon, Switzerland, Mayfin Management Services S.I., Gava, Spain, and Mr. Peter Suesstrunk, Lufingen, Switzerland (the Selling Shareholders) signed a share purchase agreement (the SPA) with Vencora, pursuant to which the Selling Shareholders agreed to sell in total 725,746 shares in CREALOGIX, corresponding in aggregate to 51.66% of CREALOGIX’s share capital, to Vencora for a purchase price of CHF 60 per CREALOGIX share. The acquisition will result in a Swiss software company with the backing of a well-capitalised leading global technology firm that is keen to support further growth. Vencora has a presence in 70 geographies with 15 collaborative brands, 1,300+ employees and 1,800+ clients across banking and insurance industries. With the support of Vencora’s resources and expertise, CREALOGIX will continue to focus on the development of innovative solutions and an improved market presence and will strengthen their competitiveness.


There is a good fit between Vencora and CREALOGIX. Both companies have a values-based culture with a continuous focus on investing in their employees, an international footprint, a history of acquisition of companies for the long-term, and a wealth of experience in the acquisition of software companies in the banking and financial services sector. Constellation Software Inc. has broad experience of over 25 years in the software business and a portfolio of over 1,200 software companies.


CREALOGIX’s vertical market software specialisation with international distribution and a successful track record of acquisitions makes it a good fit with Vencora. Vencora’s decentralized business model offers vertical market software companies the ability to maintain their independence, which allows them to focus on the needs of customers and employees post-acquisition. The business continuity and quality of the company’s services are preserved, and customer confidence is strengthened.


The offer and the SPA with the Selling Shareholders are conditional upon the receipt of regulatory clearances in certain jurisdictions and other customary conditions. Vencora intends that CREALOGIX will apply to the SIX Exchange Regulation AG for the delisting of the CREALOGIX shares in accordance with the listing rules issued by SIX Exchange Regulation AG as amended.


The offer prospectus with full terms and conditions of the offer is currently expected to be published on or around 1 December 2023, and the main offer period to commence on or around 18 December 2023 and to end on or around 18 January 2024. Holders of CREALOGIX shares are strongly advised to read the offer documentation carefully, as it contains important information about the offer.
